美国联合系统有限公司引入战略合作伙伴的公告

　　日前美国联合系统公司(以下简称“联合系统”)与TZ资本投资管理公司(以下简称“TZ”)达成了战略投资合作的协议。该协议规定了TZ责任和义务。

　　The Announcement Concerning A Strategic Investor Joining Us

　　Up to date, the United System L.L.C. (hereafter referred to as US) has fulfilled a successful negotiation with TZ Capital Investment Management L.L.C. (hereafter referred to as TZCIM) in Houston U.S.A. on the mutual strategic cooperation as well as the investment from TZCIM.

　　Consequently the framework agreement concerning the joint stock was signed and US’s still remaining the largest shareholder as before. So far, TZCIM has been formally become the first strategic investor of US and the mutual cooperation is not involving in any change of the shareholding and the actual controller of US.

　　In addition, a memorandum of understanding between TZCIM and US was also signed to be sure to further cooperate in multiple fields. TZCIM made the commitment to take advantage of its resources and influences in the international capital market to exploit more potential investors and intermediaries for the purpose of enhancing the market value of US and assisting US in finding some opportunities of the international merger or acquisition.

　　关于美国联合系统公司引入战略投资人的公告

　　美国联合系统公司日前与TZ 投资管理公司在美国休斯顿成功洽谈战略合作，引进TZ 投资管理公司作为战略投资者，并与其签署了“关于投资联合系统公司的框架协议”。

　　截至目前，TZ 投资管理公司正式成为美国联合系统公司的第一大战略合作投资方，但此次合作并不涉及联合系统公司大股东身份以及联合系统公司实际控制者的变更。

　　除参股之外，TZ投资管理公司还同联合系统公司签署了合作备忘录，双方将在多个领域开展合作。与此同时，TZ 投资管理公司承诺利用其在国际资本市场的资源和影响力，为美国联合系统公司引入其他潜在投资者、中介机构，旨在提高联合系统公司市值，并协助联合系统公司在国际市场上开展兼并收购等资本运作。
